In the event of any conflict between these Terms and any Service Agreement, the terms of the Service Agreement shall prevail to the extent of the inconsistency, provided that the Service Agreement expressly addresses the relevant matter.
Unless otherwise agreed in writing, all fees and charges for services provided by Smart Tech Media shall be denominated and payable in Hong Kong Dollars (HKD). Invoices shall be issued in accordance with the payment schedule set out in the applicable Service Agreement. Where no specific payment schedule is agreed, invoices shall be issued upon completion of each project milestone or at the end of each calendar month for ongoing services.
Payment may be made by bank transfer, cheque, or such other methods as we may agree in writing. All bank charges and transfer fees incurred by the client in making payment shall be borne by the client. Payment shall be deemed received only when the full amount has been cleared into our designated bank account.
Unless otherwise specified in the applicable Service Agreement, all invoices are due and payable within thirty (30) days from the date of issue. We reserve the right to require advance payment or deposits for certain services, as specified in the relevant Service Agreement.

All fees quoted by Smart Tech Media are exclusive of any applicable taxes, duties, or government levies. The client shall be responsible for the payment of all such taxes, duties, or levies in connection with the services provided, unless otherwise specified in the applicable Service Agreement.
Each party acknowledges that, in the course of the engagement, it may receive or have access to confidential and proprietary information of the other party ("Confidential Information"). Confidential Information includes, but is not limited to, business plans, marketing strategies, financial data, client lists, technical information, trade secrets, proprietary methodologies, and any other information that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

The obligations of confidentiality shall not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is independently developed by the receiving party without reference to the Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided that the receiving party gives the disclosing party reasonable prior written notice of such disclosure where permitted by law.
The obligations under this Section shall survive the termination or expiry of these Terms or any Service Agreement for a period of three (3) years.
To the fullest extent permitted by the laws of Hong Kong SAR, Smart Tech Media, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, goodwill, data, or other intangible losses, arising out of or in connection with:

Either party may initiate the negotiation process by delivering written notice of the Dispute to the other party, setting out the nature of the Dispute and the relief sought. The parties shall use reasonable efforts to resolve the Dispute within thirty (30) days of the receipt of such notice.
If the Dispute cannot be resolved through good faith negotiation within the thirty (30) day period specified above, either party may refer the Dispute to arbitration administered by the Hong Kong International Arbitration Centre ("HKIAC") in accordance with the HKIAC Administered Arbitration Rules in force at the time of the commencement of the arbitration.
